Welcome to PreeSocial Jamaica (“PreeSocial”, “Company”, “we”, “our”, “us”)! As you have just clicked our Terms of Service, please carefully read the following pages.

This Terms of Service (“Agreement”, “Terms”) contains the terms and conditions which govern your use of our website for design, web development, social media management and other internet-related services provided by PreeSocial Jamaica (the “Service”, “Services”). As used in this Agreement, “PreeSocial” means PreeSocial Jamaica Ltd. and “Client”, “you”, or “your” means you. You acknowledge that you have read the Agreement, and you agree to its terms and conditions and all policies posted on the PreeSocial site. As referred to in this Agreement, “Site” refers to a World Wide Web site and “PreeSocial Site” refers to the Site located at the URL https://www.preesocial.com or any other successor Sites owned or maintained by PreeSocial Jamaica.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound by them. If you do not agree with (or cannot comply with) Agreements, then you may not use the Service. These Terms apply to all visitors, users and others who wish to access or use our services.

Acceptance

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full. Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

Payments & Purchases

Charges for services to be provided by PreeSocial Jamaica are defined in the project quotation that the Client receives from the company. Quotations are valid for a period of 30 days. PreeSocial reserves the right to alter or decline to provide a quotation after expiry of the 30 days.

Unless agreed otherwise with the Client:

  1. all website design services require an advance payment of a minimum of fifty (50) percent of the project quotation total before the work is supplied to the Client for review. The remaining fifty (50) percent of the project quotation total due upon completion of the work, prior to upload to the server or release of materials.
  2. all design or other service projects totaling less than JMD$20,000 are due in full before the work is supplied to the Client for review.

Payment for services is due by bank transfer or debit/credit card payments through payment processing services such as STRIPE or PayPal. Arrangements can be made in specific cases for cash payments.

There will be no refund or credit for partial months or year of service. Costs are chargeable and shall be payable until an account is terminated or cancelled by either the Client or the Company.

The Company may increase the prices at any time by giving the Client not less than 1 month’s notice provided that the increase does not exceed 25% of the prices in effect immediately prior to the increase.

Additionally, for monthly or subscription plan and website maintenance fees – PreeSocial, in its sole discretion and at any time, may modify fees being paid. Any change in fees will become effective at the end of the then-current Billing Cycle.

PreeSocial will provide you with a reasonable prior notice of any change in these fees to give you an opportunity to terminate your subscription or monthly payments before such change becomes effective. Your continued use of Service or failure to cancel Service after the fee change comes into effect constitutes your agreement to pay the modified fee amount.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Subscriptions & Periodic Payments

The Set up fee and First monthly payment to be paid no-later than 7 days of signing up (unless otherwise agreed by the Company in writing beforehand). Remaining monthly payment must be paid on the 5th of each month thereafter (unless otherwise agreed). Should payment fall on a non-working day the payment will be processed on the next available working day.

At the end of each Billing Cycle, your subscription or monthly payment will automatically renew under the exact same conditions unless you cancel or PreeSocial cancels it. You may cancel by contacting PreeSocial customer support team.

Discounts that are applied to the pay monthly package are only available if the full pay monthly term is completed.

Clients can request to pay quarterly or annual fees at any time. The full pay quarterly or annual fee is to be paid at start of project. The quarterly or annual payment will be then required based on the calendar year and PreeSocial Billing Cycle.

Add-On Services

Payment for add on services will be charged immediately, with payment being required at time of order. Payments are are subject to the same payment methods and terms listed above.

Any intellectual property rights for add-on service design work such as logo creation or business card creation shall be passed to the Client upon completion and payment. Bolt on features are at additional cost, and must be paid for at time of order. Required Plugins and API integration that are required for additional website functionality are at additional cost to the standard website plan fees and will be charged to the Client based on their individual costs.

The Client is responsible for providing content (unless these have been purchased as an Add-on Service). If no content or incorrect content is provided this is not the Company’s responsibility and the Client will still be billed as agreed.

Client Review

PreeSocial Jamaica will provide the Client with an opportunity to review the appearance and content of the service during the design phase and once the overall design is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies the Provider within ten (10) days of the date the materials are made available to the Client.

Contests, Sweepstakes and Promotions

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply. Work Product Ownership

PreeSocial Jamaica Limited is the copyright owner of all works created or developed by PreeSocial Jamaica Limited for a Client unless otherwise agreed to in writing. When payment for the product or service is made in full by the client for the product or service, the client is licensed to use the product or service for its intended use within the context of their business and the product itself. The provider hereby gives the Client this work product once the Client has paid in full. The Client gives the Provider permission to us the work product as part of the Provider’s portfolio and websites, in galleries, and in other media, so long as it is to showcase the Provider’s work and not for any other purpose. The Client retains the copyright to data, files and graphic logos provided by the Client, and grants PreeSocial Jamaica Limited the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting PreeSocial Jamaica Limited permission and rights for use of the same and agrees to indemnify and hold harmless PreeSocial Jamaica Limited from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions.

Design Credit

A link to PreeSocial Jamaica will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. The Client also agrees that the website developed for the Client may be presented in PreeSocial’s portfolio.

The Company will keep all original artwork and digital files prepared in connection with the project and are allowed to use them for promotional purposes without prior permission from the Client.

Post-Placement Alterations

PreeSocial Jamaica Limited cannot accept responsibility for any alterations caused by a third party occurring to the Client’s works or pages once installed or provided. Such alterations include, but are not limited to additions, modifications or deletions.

Exclusivity

The Client acknowledges that PreeSocial Jamaica Limited is providing services to the client on a non-exclusive basis and that PreeSocial Jamaica Limited may provide services and products of the same or a similar nature to any other party (provided that in doing so it does not breach privacy).

Account Credentials

Where provided, the Client agrees to keep all user IDs and access codes/passwords confidential. Sharing of account information and passwords is strictly forbidden. If a Client believes that his user ID or password has been compromised, the Client agrees to contact PreeSocial Jamaica Limited immediately via e-mail or telephone.

Suspension or Discontinuation of Service

The Company has the right to stop providing services or suspend services if payment is not received within 10 working days. If the missed payment has still not been received within 30 days the Company has the right to delete the design, website, content or related files from their servers to a point that it can not be restored.

The Company reserves the right to cancel the pay monthly contract and request immediate settlement of any outstanding balance or full service cost if two consecutive monthly payments are missed.

Setup and up-front costs are nonrefundable.

The Client may terminate this agreement up to 14 days prior to the last day of the minimum agreement term. The Client must give 14 days written notice the Company. The Company can terminate this agreement at any time and must give 14 days written notice to the Client.

Service Interruptions

PreeSocial Jamaica Limited is not responsible for interruptions of service beyond its control. This includes interruptions by its suppliers and natural disasters.

Limitation of Liability

In no event will the Company be liable for any special, indirect, incidental, or consequential damages nor loss of data, profits or revenue, cost of capital, or downtime costs, nor for any exemplary or punitive damages, arising from any claim or action, incidental or collateral to, or directly or indirectly related to or in any way connected with, the subject matter of the agreement, whether such damages are based on contract, tort, statute, implied duties or obligations, or other legal theory, even if advised of the possibility of such damages.

Indemnity

All PreeSocial Jamaica Limited services may be used for lawful purposes only. You agree to indemnify and hold PreeSocial Jamaica Limited harmless from any claims resulting from your use of our services that damages you or any other party.

Force Majure

If either party is subject to an event of Force Majeure, that is circumstances outside its reasonable control, including but not limited to war, fire, industrial disputes or civil commotion, it shall notify the other and the first party’s obligations under these Terms shall be suspended until it notifies the other party of the end of such event of Force Majeure.

Governing Law

These terms and conditions and any agreement entered into by PreeSocial Jamaica Limited or service provided by PreeSocial Jamaica Limited shall be governed by and interpreted in accordance with the laws of Jamaica.

Severability

In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid.
